Strategic Alliance

Strategic Alliance — No Liability Relationship

Where the collaboration is structured as a Strategic Alliance, the Affiliate's participation shall not, under any circumstance, create joint liability, shared legal responsibility, or vicarious exposure between the parties. Specifically:

• The Affiliate shall not be liable for the alliance partner's products, services, financial obligations, representations, or conduct, whether arising before, during, or after the alliance.
• The alliance shall not be construed as creating a general or limited partnership, joint venture, or fiduciary relationship, regardless of the degree of collaboration, resource-sharing, or joint branding involved.
• Each party remains solely responsible for its own legal, regulatory, tax, and contractual obligations arising from its own conduct within the alliance.
• Any joint output (co-developed content, shared campaigns, joint materials) shall not be deemed to create shared ownership of liability; each party is liable only for the portion it directly authored, produced, or controlled.
• The alliance partner shall indemnify the Affiliate against any third-party claims arising from the alliance partner's independent actions, products, or representations.

Reseller Agreement

The Individual grants the reseller a non-exclusive, non-transferable right to resell the product as provided, without restriction as to territory, platform, or pricing, unless otherwise separately agreed in writing.

No Liability for Reseller Conduct

The Individual shall bear no responsibility or liability for the reseller's marketing claims, pricing decisions, customer service, or manner of resale. The reseller shall not modify, misrepresent, or make claims about the product beyond what the Individual has expressly provided or authorized.

No Distributor/Partnership Relationship Created

The grant of resale rights shall not be construed as creating a distributorship, agency, partnership, or joint venture between the Individual and the reseller. The reseller acts solely in its own capacity and independently of the Individual.

Indemnification

The reseller shall indemnify and hold harmless the Individual from any claims, damages, or liabilities arising from the reseller's own conduct, representations, or resale practices.

Revocability

The Individual reserves the right to revoke or modify resale rights at any time, with reasonable notice, should the reseller violate the terms above.

License Agreement

All books, manuscripts, and written works licensed under this agreement remain the sole and exclusive copyrighted property of the Individual. This agreement grants a license to use the work under the terms specified herein and does not constitute a transfer, assignment, or sale of copyright ownership. No rights are granted beyond those expressly stated in this agreement, and all rights not expressly granted are reserved by the Individual.

Applicable Copyright Law

The Individual's books and written works are protected under applicable copyright law upon creation, without requirement of registration, notice, or publication. This protection grants the Individual exclusive rights to reproduce, distribute, publicly display, publicly perform, and create derivative works based on the copyrighted material, as well as the exclusive right to authorize others to do so. Copyright protection extends to the expression of ideas as fixed in a tangible medium, and does not itself protect underlying ideas, facts, systems, or methods. These rights exist independently of this agreement and are neither created nor diminished by it; this agreement governs only the specific license granted herein, within the bounds of rights the Individual already holds under law.

Any rights not expressly and explicitly granted under this license remain reserved to the Individual in full, consistent with applicable copyright law.

Barter Agreement

Bartering of physical copies of the Individual's work by third parties is fully permitted and unrestricted. However, the Individual shall not be solicited, pressured, or negotiated with ("haggled") to personally supply a copy for barter, except where the Individual chooses to do so at a full (100%) discount — i.e., at no cost. Any request for the Individual's direct participation in a barter exchange below full discount shall be declined as a matter of policy, not subject to negotiation.

Distribution Partnership

 Nothing in this arrangement shall be construed to create a partnership, joint venture, agency, or employment relationship between the parties. Neither party has authority to bind the other, incur obligations on the other's behalf, or represent itself as an agent of the other.

The Individual's liability under this partnership shall be governed by the clause above. Any distributor-specific policies may supplement these terms but shall not override, dilute, or supersede the liability protections established herein. The distributor may treat the Individual as a customer for ordinary transactional purposes, but the Individual shall have no obligation to cover the distributor's financial losses, meet minimum purchase requirements, or otherwise fund the distributor's business needs.

Should the Individual voluntarily enroll as a seller under the distributor's standard customer contract—including any contract involving fees, charges, or reciprocal obligations imposed on customers generally—the distributor shall apply no terms, fees, or obligations to the Individual beyond those generally applicable to other sellers within the same region under the same contract. The Individual shall not be subject to treatment less favorable than that afforded to similarly situated customers. This restriction applies only within the scope of such voluntary contracts; it does not extend to, limit, or otherwise affect the protections established elsewhere in this policy.
